Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vegas Black Key website, mobile experiences, concierge communications, and any related services (collectively, the "Services") operated by Vegas Black Key ("Vegas Black Key," "we," "us," or "our"). By creating an account, purchasing a membership, submitting a concierge request, or otherwise using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Services.

You must be at least 21 years of age to use the Services. Many of the venues, experiences, and operators we coordinate with — including nightclubs, lounges, gentlemen's clubs, gaming establishments, and alcohol-service providers — require members to be 21+. You represent that you have the legal capacity to enter into a binding contract and that the information you provide is accurate and complete.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. Accounts are personal, non-transferable, and limited to one per person. We reserve the right to suspend or terminate accounts for inaccurate information, suspected fraud, or violations of these Terms.

Vegas Black Key offers three membership tiers: Free, Black Key ($9.99/month), and Black Key Elite ($499/month). Paid memberships renew automatically on a recurring monthly basis until cancelled. By subscribing, you authorize us (and our payment processor) to charge your payment method on each renewal date.

Prices, features, and tiers may change. We will provide reasonable advance notice of material price increases. If a payment fails, we may retry the charge, downgrade your account, or suspend access until payment is resolved. All fees are exclusive of applicable taxes, which are your responsibility.

You may cancel a paid membership at any time from your account or by contacting concierge. Cancellation takes effect at the end of the current billing cycle, and you will retain access through that period. Membership fees are non-refundable and we do not provide prorated refunds for unused time, except where required by law.

Vegas Black Key acts as a concierge and booking facilitator. The underlying experiences — including transportation, private jet and helicopter charters, nightclubs, lounges, gentlemen's clubs, restaurants, shows, tours, and accommodations — are provided by independent third-party operators and venues. Those providers control their own pricing, availability, policies, dress codes, house rules, and terms of service, which apply to your booking in addition to these Terms.

We do not own, operate, or control third-party operators and we are not responsible for their acts or omissions.

Certain bookings require deposits, minimum spends, credit-card holds, or pre-authorization. Confirmation of a reservation depends on third-party availability and is not guaranteed until the operator confirms. Cancellation windows, change fees, no-show fees, and minimum-spend forfeitures are set by the venue or operator and pass through to you. We will communicate the applicable terms when you book.

Services may be affected by events outside our control, including weather (particularly for air services), mechanical issues, venue closures, government action, and force majeure. We are not liable for delays or cancellations caused by such events.

All quotes are estimates based on information available at the time and are subject to change until a booking is confirmed. Quotes may exclude taxes, gratuities, fuel surcharges, landing fees, event-night premiums, and other third-party costs. You authorize us to charge your payment method for confirmed bookings, deposits, incidentals, and any post-event charges (e.g., damages, no-show fees) imposed by an operator.

You agree to use the Services lawfully and respectfully. You will not:

• violate any law, regulation, or third-party right;
• harass, threaten, or abuse concierge staff, venue staff, drivers, pilots, or other members;
• misrepresent your identity, age, or eligibility;
• resell, broker, or transfer access to memberships, reservations, or concierge services;
• ignore venue dress codes, house rules, or lawful instructions from operators;
• engage in conduct that endangers your safety or the safety of others, including intoxication that disrupts a venue or vehicle.

Venues and operators may refuse service, remove you from the premises, or terminate a reservation at their discretion. We may suspend or terminate your account for conduct that violates these Terms.

The Services, including the Vegas Black Key name, logo, website content, photography, and software, are owned by Vegas Black Key or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Services for personal, non-commercial use. You may not copy, scrape, resell, or create derivative works without our written consent.

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that any specific table, booth, entry, vehicle, aircraft, show seat, or reservation will be available, and we do not guarantee uninterrupted or error-free operation of the Services.

To the maximum extent permitted by law, Vegas Black Key, its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost opportunities, personal injury, or property damage arising out of or related to the Services or any third-party operator. Our total aggregate liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount of fees you paid to Vegas Black Key in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

You agree to indemnify, defend, and hold harmless Vegas Black Key and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your interactions with third-party operators or venues, your violation of these Terms, or your violation of any law or third-party right.

We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms from time to time. Material changes will be communicated through the Services or by email. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws principles. You and Vegas Black Key agree to first attempt to resolve any dispute informally by contacting concierge. If a dispute cannot be resolved within 30 days, the dispute will be resolved by binding arbitration administered by a recognized arbitration provider in Clark County, Nevada, except that either party may seek injunctive relief in court for intellectual-property or confidentiality matters.

Class-action waiver: You and Vegas Black Key agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative action.

You may stop using the Services at any time and cancel a paid membership as described above. We may suspend or terminate your access immediately, without notice, for breach of these Terms, fraud, abusive conduct, or to protect the Services, other members, or third parties. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimers, limitation of liability, indemnification, and dispute resolution.
